1. Agreement to Terms
By accessing or using Zivvo ("the Platform"), operated by VaioTech Ltd, a company registered in England and Wales ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.
2. Description of Service
Zivvo is a no-code AI agent platform that enables users to create, configure, and deploy autonomous AI agents. These agents can connect to third-party services (such as email, social media, and messaging platforms), process documents, and perform automated actions on behalf of users. The Platform provides agent creation, document management, multi-channel integrations, analytics, and content scheduling capabilities.
3. Account Registration
To use the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
4. Acceptable Use
Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to use the Platform to:
- Violate any applicable laws or regulations
- Impersonate individuals, companies, or government agencies
- Collect sensitive financial data (card numbers, bank details, PINs, cryptocurrency keys)
- Provide regulated professional advice (medical, legal, financial) without appropriate disclaimers
- Send spam, unsolicited messages, or bulk communications
- Harass, abuse, threaten, or discriminate against individuals
- Generate harmful, illegal, or exploitative content
- Engage in fraudulent, deceptive, or misleading practices
- Attempt to circumvent the Platform's automated safety guardrails
- Use AI agents in ways that violate third-party platform terms of service
5. AI Agents and Automation
You acknowledge and agree that:
- AI agents operate autonomously based on your configuration and may produce unexpected results
- You are solely responsible for the actions taken by your AI agents, including messages sent, calls made, content published, and data processed
- AI-generated content may contain errors or inaccuracies and should be reviewed where appropriate
- You must comply with all applicable laws when using AI agents, including data protection, consumer protection, anti-spam, and telecommunications regulations
- The Platform includes automated safety guardrails that cannot be disabled or overridden. Attempting to circumvent these guardrails is a violation of these Terms
- We may impose usage limits based on your subscription plan
- We reserve the right to suspend or deactivate any agent that violates our Acceptable Use Policy, with or without prior notice
6. Third-Party Integrations
The Platform integrates with third-party services including Google (Gmail, Sheets, Calendar), Meta (Facebook, Instagram, WhatsApp), LinkedIn, X (Twitter), and others. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services. You authorise us to access these services on your behalf using the credentials and permissions you provide.
7. Subscription and Billing
Certain features of the Platform require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to change our pricing with reasonable notice. Refunds are handled on a case-by-case basis.
8. Intellectual Property
The Platform, including its design, code, features, and branding, is owned by VaioTech Ltd and protected by intellectual property laws. You retain ownership of all content and data you upload to the Platform. By uploading content, you grant us a limited licence to process, store, and use that content solely to provide the Platform's services to you.
9. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
10. Limitation of Liability
To the fullest extent permitted by law, VaioTech Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, error-free, or secure.
12. Termination and Suspension
We may suspend or terminate your account at any time for violation of these Terms, our Acceptable Use Policy, or for any other reason at our discretion. Specifically:
- Agents that violate our safety policies may be deactivated immediately without prior notice
- Accounts involved in fraud, impersonation, or harmful content will be permanently terminated
- We may report illegal activities to relevant law enforcement authorities
You may terminate your account at any time from your account settings or by contacting us. Upon termination, your right to use the Platform ceases immediately, and we will delete your data within 30 days, except where required by law to retain it.
13. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified terms.
14. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these terms affects your statutory rights as a consumer under the laws of your country of residence.
